Terms of Service

These Terms of Service (“Terms”) govern your use of the website https://mybodyprism.com (the “Site”), the MyBodyPrism Desktop Viewer, and any related services we offer (collectively, the “Service”) provided by Bolthouse Labs, Inc., a Delaware corporation (“Bolthouse Labs,” “we,” “us,” “our”).

By creating an account, purchasing a license, downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

The Service is a patient-facing wellness and self-education tool for viewing your own medical imaging data. The Service is not a medical device. Read the Medical Disclaimer before using the Service.

The Desktop Viewer is provided free of charge as a beta release in this version. There is no purchase, license fee, or subscription required to download, install, or use it. On first launch the Software obtains a free beta license (one per machine — see the End-User License Agreement §3) that ends on July 1, 2027. See §4 for how this may change in the future.

3. Account creation and security

To download the Software, you provide a valid email address (see the Privacy Policy §2.2 for how we use it). If we introduce paid features in the future (§4), purchasing them will require a valid email address and a payment method via our payment processor (Stripe). You agree:

You will be notified of any suspicious activity on your account at the email address you provide. Promptly notify us at support@mybodyprism.com if you suspect any unauthorized use.

4. Free access and future changes

4.1 Free beta during this version

The MyBodyPrism Desktop Viewer is provided to you free of charge, as a beta release, in this version. We do not require a purchase, license fee, subscription, or payment method to download, install, or use it. The free beta license issued to your machine ends on July 1, 2027 (the “Beta Period” — End-User License Agreement §3.1). Before the Beta Period ends we will describe at mybodyprism.com what the Software and its terms provide after that date, which may be a new free license, a paid license, or a new version. A beta release may contain defects and may change or be discontinued.

4.2 Free access is not guaranteed to continue

Free access is provided at our discretion, ends with the Beta Period unless we say otherwise, and is not guaranteed to remain free. We reserve the right, at any time and in our sole discretion, to: (a) introduce fees, paid tiers, or paid features; (b) modify, limit, or discontinue any part of the Service; and (c) require payment to continue using the Service or any feature, including features that are free today. We will give registered users prior notice of a change that introduces a fee — by email to the address you provided and/or by posting on the Site — a reasonable time before it takes effect. If you do not agree to such a change, your remedy is to stop using the Service before the change takes effect; continued use after the effective date constitutes acceptance. Nothing in these Terms grants you a perpetual or free-forever license, and no feature or price is guaranteed.

4.3 Streaming will be a paid feature

Browser-based streaming of the viewer is forthcoming and will be offered as a paid feature (to cover its hosting cost). Its price and terms will be presented to you before you purchase it.

4.4 Taxes

If fees are introduced in the future, any applicable sales tax or VAT will be added by our payment processor at checkout.

5. No fees or refunds; termination

5.1 No fees or refunds (free service)

The Service is currently free, so there is no charge, nothing to cancel, and nothing to refund. If we introduce paid features in the future (§4), the payment, cancellation, and refund terms for those features will be presented to you at the time of purchase.

5.2 Termination by us

We may suspend or terminate your access to the Service if you materially breach these Terms, including but not limited to:

6. License grants

6.1 Service license

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service while your free license is valid, subject to these Terms and the End-User License Agreement for the Desktop Viewer binary.

6.2 Your content

You retain all rights, title, and interest in your medical imaging data, ROI mask sidecars, and any other content you create in connection with the Service (“Your Content”). In this version of the Service your imaging stays on your own device and we do not receive it.

We do not claim ownership over Your Content. We do not use Your Content to train AI models. See the Privacy Policy for details.

The Service, including all software, text, graphics, designs, and trademarks, is owned by Bolthouse Labs or our licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

“MyBodyPrism” and “Bolthouse Labs” are trademarks of Bolthouse Labs, Inc.

Open-source components included in the Desktop Viewer binary are governed by their own license terms, listed in the COPYRIGHT.txt file installed alongside the Service and mirrored at https://mybodyprism.com/legal/copyright.

9. Third-party services

The Service relies on third-party providers, primarily Stripe (payment processing) and Amazon Web Services (website, license API, and installer downloads). Your use of any such features is subject to the respective provider’s terms. We have selected these providers carefully, but we are not responsible for their acts or omissions to the extent permitted by law.

10. Disclaimers and limitation of liability

10.1 Medical disclaimer

The Service is not a medical device and is not intended for clinical diagnosis or treatment decisions. See the Medical Disclaimer. You agree to use the Service only as a wellness and self-education tool and to consult a qualified healthcare professional for any clinical matters.

10.2 No warranty

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Some jurisdictions do not allow exclusion of implied warranties, so some of the above may not apply to you to the extent such exclusions are prohibited.

10.3 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Some jurisdictions do not allow exclusion or limitation of certain damages. To the extent prohibited, these limitations apply to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Bolthouse Labs, our directors, officers, employees, agents, and licensors from any claim, demand, or damages (including reasonable attorneys’ fees) arising from or relating to:

We will defend, indemnify, and hold harmless you from any third-party claim that the Service, as provided by us and used in accordance with these Terms, infringes that third party’s intellectual property rights.

12. Dispute resolution and governing law

12.1 Informal resolution

If you have a dispute with us, please contact us first at support@mybodyprism.com. We will work in good faith to resolve the dispute informally within 30 days.

12.2 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you are a consumer residing in a jurisdiction with mandatory consumer-protection laws that override the governing-law clause, those mandatory protections apply.

12.3 Binding arbitration; class-action waiver

Please read this section carefully — it affects your legal rights.

For any dispute not resolved informally under §12.1, you and Bolthouse Labs agree to resolve the dispute by binding arbitration administered by JAMS in Denver, Colorado, under JAMS’ Streamlined Arbitration Rules. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and Bolthouse Labs each waive the right to a jury trial and the right to participate in a class action, collective action, or representative action, except where such waiver is unenforceable under applicable law.

You may opt out of this arbitration agreement by sending a written opt-out notice to support@mybodyprism.com within 30 days of first accepting these Terms. Include your name, account email, and the statement: “I opt out of the arbitration agreement in the Bolthouse Labs MyBodyPrism Terms of Service.”

12.4 Court for non-arbitrable claims

For any claim not subject to arbitration (e.g., small-claims-court cases), the parties consent to exclusive jurisdiction in the state and federal courts located in Delaware.

13. Force majeure

We are not liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14. Severability and waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force.

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

15. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of substantially all our assets, or other corporate transaction.

16. Entire agreement

These Terms, together with the Privacy Policy, the Medical Disclaimer, and the End-User License Agreement, constitute the entire agreement between you and Bolthouse Labs regarding the Service and supersede any prior agreements or understandings, written or oral.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users (users who have provided an email address) and posted at https://mybodyprism.com/legal/tos at least 30 days before they take effect. Your continued use of the Service after the new Terms take effect constitutes acceptance.

If you do not agree to revised Terms, you may stop using the Service before the effective date.

18. Notices

Notices to you will be sent by email to the address associated with your account. Notices to us must be sent to support@mybodyprism.com.

19. California-specific disclosures
